TERMS OF USE OF THE “TENDER” MODULE
1. Terminology
Platform — the website www.allfoods.market.
Seller — a legal entity or individual entrepreneur registered on the Platform and placing products for sale.
Buyer — a legal entity or individual entrepreneur registered on the Platform for the purpose of purchasing products placed by Sellers.
Tender — a section of the Platform through which the Buyer may create a request for required products and receive commercial offers from one or more Sellers.
Tender Request — a Buyer’s request for the supply of products indicating the category, quantity, desired conditions, proposal submission deadline, and other information necessary for Sellers to prepare a commercial offer.
Commercial Offer — an offer submitted by the Seller to the Buyer in response to a tender request.
2. General Conditions
2.1. The “Tender” module is a technical tool of the Platform intended for posting Buyers’ requests and receiving commercial offers from Sellers.
2.2. The Platform is not a party to any sale and purchase agreement, supply agreement, commission agreement, agency agreement, or any other agreement concluded between the Seller and the Buyer.
2.3. All interactions between the Buyer and the Seller, including financial settlements, agreement of payment terms, delivery, shipment, product acceptance, documentation, returns, claims, and liabilities, shall take place directly between the parties.
2.4. The Platform does not accept payments for products, does not hold funds, does not provide refunds, does not impose financial penalties, and does not guarantee the fulfillment of obligations by the Seller or the Buyer.
2.5. For each product or purchasing requirement, the Buyer may create a tender request specifying the necessary procurement parameters.
2.6. Tender requests may be available to registered Sellers on the Platform depending on settings, region, product category, and the functional capabilities of the Platform.
2.7. All terms of delivery, payment, product acceptance, and further execution of the transaction shall be agreed upon independently between the Buyer and the Seller.
3. Terms of Use of the “Tender” Module for Buyers
3.1. The Buyer independently determines for which products tender requests will be created.
3.2. Creating tender requests for Buyers is free of charge unless otherwise provided by the current tariffs or Platform conditions.
3.3. When creating a tender request, the Buyer must specify the date until which Sellers may submit commercial offers.
3.4. The Buyer is responsible for the accuracy and completeness of the information specified in the tender request, including the product name, quantity, quality requirements, packaging, delivery сроки, delivery region, and other conditions.
3.5. The Buyer has the right to accept one or several commercial offers within a single tender and continue negotiating the transaction with one or several Sellers.
3.6. The Buyer has the right to reject commercial offers that do not meet the Buyer’s requirements or commercial interests.
3.7. Acceptance of a commercial offer in the “Tender” module means the Buyer’s intention to continue negotiating the transaction with the selected Seller. The final terms of the transaction shall be agreed upon directly between the parties.
3.8. Current and completed tenders together with Sellers’ commercial offers may be stored in the Buyer’s personal account for a period determined by the rules and technical capabilities of the Platform.
4. Terms of Use of the “Tender” Module for Sellers
4.1. The number of commercial offers that a Seller may submit within the “Tender” module may be limited by the conditions of the selected account type. Information regarding such limits is available in the Seller’s personal account.
4.2. If the limit for participation in tenders has been reached, the Seller may increase the limit by selecting another account type or purchasing additional participations if such an option is provided under the current Platform conditions.
4.3. The Seller independently decides whether to participate in a specific tender.
4.4. The Seller has the right not to submit a commercial offer if the terms of the tender request are unsuitable or if the requested products do not correspond to the Seller’s assortment, delivery region, or commercial capabilities.
4.5. Within one tender, the Seller may submit one or several commercial offers differing in price, quantity, delivery period, payment terms, or other parameters, if permitted by the functionality of the Platform and account limits.
4.6. The Seller is responsible for the accuracy of the information specified in the commercial offer, including price, product availability, delivery terms, product specifications, payment conditions, and other parameters.
4.7. Current and completed tenders together with submitted commercial offers may be stored in the Seller’s personal account for a period determined by the rules and technical capabilities of the Platform.
5. Limitation of Platform Liability
5.1. The Platform does not verify each commercial offer for economic feasibility, compliance with the Buyer’s expectations, or the Seller’s actual ability to fulfill the offer.
5.2. The Platform has the right to moderate tender requests and commercial offers in cases of violation of Platform rules, placement of prohibited products, false information, spam, abuse of functionality, or other violations.
5.3. In the event of systematic violation of the rules for using the “Tender” module, the Platform may apply internal measures, including warnings, restriction of access to the module, rating reduction, temporary blocking of certain functions, or other measures provided by the Platform rules.
6. Support
6.1. If users have any questions regarding the use of the “Tender” module, they may contact the Platform support service through the feedback form.
6.2. The support service provides informational and technical assistance regarding the operation of the module but does not act as an arbitrator in commercial, financial, or legal disputes between the Seller and the Buyer.
