TERMS OF USE OF THE “GROUP ORDER” MODULE
1. Terminology
Platform — the website www.allfoods.market.
Seller — a legal entity or individual entrepreneur registered on the Platform and placing products for sale.
Buyer — a legal entity or individual entrepreneur registered on the Platform for the purpose of purchasing products placed by Sellers.
Together — a section of the Platform through which several Buyers may combine requests to purchase a single batch of products or a single lot placed by a Seller.
Lot — a product or batch of products placed by the Seller in the “Together” module indicating the price, quantity, currency, estimated shipment date, minimum collection volume, and other parameters.
Reservation — an action performed by the Buyer to confirm interest in purchasing a specific quantity of products within a lot.
Minimum Collection — the minimum quantity of products or minimum volume of reservations upon reaching which the Seller is willing to consider further negotiation of the supply with Buyers.
2. General Conditions
2.1. The “Together” module is a technical tool of the Platform intended for placing lots, collecting reservations from multiple Buyers, and recording collective interest in purchasing a batch of products.
2.2. The Platform is not a party to any sale and purchase agreement, supply agreement, commission agreement, agency agreement, or any other agreement concluded between the Seller and the Buyers.
2.3. All financial settlements, payment terms, delivery terms, shipment, product acceptance, documentation, returns, claims, and liabilities shall be agreed upon and fulfilled directly between the Seller and the Buyers.
2.4. The Platform does not accept payment for products, does not hold funds, does not provide refunds, does not impose financial penalties, and does not guarantee the fulfillment of obligations by the Seller or the Buyers.
2.5. Reserving products in the “Together” module does not constitute payment for products and does not mean the automatic conclusion of a supply agreement. A reservation records the Buyer’s intention to purchase a certain quantity of products under the conditions specified in the lot, with subsequent negotiation of the transaction directly with the Seller.
2.6. The reservation collection for a lot shall be considered to have reached the minimum volume if Buyers have reserved a quantity of products not lower than the “Minimum Collection” value specified by the Seller.
2.7. After the minimum collection has been reached, the Seller and the Buyers shall independently agree on the further terms of the transaction, including payment, documentation, delivery, shipment, product acceptance, and liability of the parties.
2.8. All conditions related to delivery and acceptance of products purchased through the “Together” module shall be discussed directly between the Buyers and the Seller. The Platform does not participate in organizing shipment or delivery unless otherwise provided by a separate service or agreement.
3. Terms of Use of the “Together” Module for Sellers
3.1. The number of lots that a Seller may place in the “Together” module is limited by the conditions of the selected account type. Information regarding such limits is available in the Seller’s personal account.
3.2. If the limit for using the “Together” module has been reached, the Seller may increase the limit by selecting another account type or purchasing additional placements if such an option is provided under the current Platform conditions.
3.3. The Seller independently determines the lot parameters, including the product name, quantity, price, currency, reservation collection period, estimated shipment date, minimum collection, and other offer conditions.
3.4. The reservation collection end date must be established taking into account the time required for further negotiation of the transaction, payment, document preparation, and shipment organization between the Seller and the Buyers.
3.5. The Seller is responsible for the accuracy of information regarding the product, its availability, specifications, price, quantity, shipment terms, and other conditions specified in the lot.
3.6. The Seller may remove the lot from publication if the minimum collection has not been reached at the time of cancellation.
3.7. If the minimum collection has been reached but the Seller cancels the lot or refuses further negotiation of the supply without objective reasons, the Platform may apply internal measures, including warnings, restriction of access to the module, rating reduction, temporary blocking of certain functions, or other measures provided by the Platform rules.
3.8. To organize reservation collection through the “Together” module, the Seller must have activated access to the relevant functionality in the personal account.
4. Terms of Use of the “Together” Module for Buyers
4.1. The Buyer may view active lots in the “Together” module available on the Platform.
4.2. The Buyer may participate in reservation collection for a lot provided that the Buyer has a registered account and access to the relevant Platform functionality.
4.3. The Buyer independently determines the quantity of products to reserve within the available volume of the lot.
4.4. Before the reservation collection period expires, the Buyer may create several reservations within one lot if permitted by the functionality of the Platform and the available quantity of products.
4.5. If the Buyer reserved products by mistake, the Buyer has the right to cancel the reservation within 24 hours from the moment of its creation if such functionality is available in the Platform interface, or by contacting customer support.
4.6. The Platform may record the cancellation of a reservation and notify the Seller; however, the Platform does not make decisions regarding monetary compensation, penalties, refunds, or other financial consequences of refusal.
4.7. After the reservation collection period ends, the Buyer and the Seller shall independently agree on the further terms of the transaction, including invoice issuance, payment, documentation, delivery, shipment, and product acceptance.
4.8. If the Buyer systematically reserves products without the intention to continue negotiating the transaction or refuses the declared quantities without objective reasons, the Platform may apply internal measures, including warnings, restriction of access to the module, rating reduction, temporary blocking of certain functions, or other measures provided by the Platform rules.
5. Force Majeure
5.1. Failure or improper fulfillment of obligations between the Seller and the Buyers may be caused by force majeure circumstances if such circumstances objectively prevent the performance of the transaction and are confirmed by a document issued by a competent authority.
5.2. Force majeure circumstances may include wars, military actions, epidemics, fires, natural disasters, mass disturbances, terrorist acts, decisions of governmental authorities, and other circumstances that the parties could not reasonably foresee or prevent.
5.3. The party affected by force majeure circumstances shall notify the other party and, if necessary, the Platform support service at the earliest possible opportunity.
6. Limitation of Platform Liability
6.1. The Platform provides the technical capability to publish lots, reserve product quantities, display statuses, and exchange information between users.
6.2. The Platform is not responsible for the actual availability of products from the Seller, the Seller’s readiness to supply, the Buyer’s solvency, product quality, delivery terms, document processing, inspections, transportation, product acceptance, or any other transaction conditions between the parties.
6.3. The Platform has the right to moderate lots and reservations in cases of violation of Platform rules, placement of prohibited products, false information, spam, abuse of functionality, or other violations.
7. Support
7.1. If users have any questions regarding the use of the “Together” module, they may contact the Platform support service through the feedback form.
7.2. The support service provides informational and technical assistance regarding the operation of the module but does not act as an arbitrator in commercial, financial, or legal disputes between the Seller and the Buyers.
