TERMS OF USE OF THE “GROUP ORDER” MODULE

1. Terminology


Platform – www.allfoods.market website

Seller – a legal entity registered and placing its goods on the platform for the purpose of sale

Buyer – a legal entity registered on the platform for the purpose of purchasing goods posted on the platform by Sellers.

Group Order – section (module) on the platform, with the help of which joint purchases of one large batch of goods (lot) are made by several Buyers at a favorable price. With the help of “Group Order” bidding, the Seller also has the opportunity to place a batch of goods before it is produced and already receive prepaid orders for this batch in advance.


General terms

1.1. The “Group Order” section works only within the framework of the «Secure deal»service provided by the Platform.

1.2. Bidding in the “Group Order” section is considered valid if the minimum allowable number of reservations (“Minimum collection”) has been collected, subject to which the Seller agrees to make the shipment.

1.3. All conditions for the delivery and acceptance of goods purchased at the “Group Order” auction are discussed by the Buyer directly with the Seller. The Platform does not take part in organizing the shipment/delivery process and is not legally responsible for the failure of the Buyer and Seller to fulfill their obligations to each other.


2. Terms of use of the “Group Order” module for the Seller

2.1. The number of trades in the “Group Order” section that the Seller can organize on the platform is limited by limits within the terms of the account used. Information on limits is available in the Seller’s personal account.

2.2. If the limit for using the “Group Order” section is exhausted, the Seller can increase his limit by selecting an account of a different level or purchase an additional number of “Group Order” trades (for an Enterprise account) by contacting the platform support service through the feedback form или по e-mail info@allfoods.market

2.3. The seller independently determines the time period for collecting orders for trading “Group Order”, the quantity of goods sold, price, shipment date and the minimum number of reservations (“Minimum collection”). The end date for collecting reservations from Buyers must be no later than 8 days before the indicated shipment date.

2.4. The Seller may withdraw his lot from auction without penalty if the minimum number of reservations (Minimum collection) is not reached on the date of cancellation of the lot. In other cases, if a lot is canceled or if orders are refused to be arranged for shipment, penalties will be withheld from the amount of the Seller's guaranteed deposit in favor of the Buyers who made the reservations in the amount of the prepayment.

2.5. Failure to fulfill its obligations by the Seller or cancellation of a lot at the “Group Order” auction will not be subject to penalties in the event of force majeure circumstances, the occurrence and duration of which is confirmed by a document issued by the relevant competent authority. Such circumstances include wars, hostilities, epidemics, fires, natural disasters (floods, hurricanes, earthquakes and other natural disasters and cataclysms), popular unrest, uprisings, terrorist acts, acts and actions of government bodies that make it impossible to fulfill their obligations by the Seller. The seller is obliged to notify the platform as soon as possible of the occurrence of such force majeure circumstances.

2.6. To organize trading through the “Group Order” module, you must submit an application in the Seller’s personal account to activate this module.

2.7. To organize trading through the “Group Order” module, the Seller must make a guaranteed deposit within the terms of use «Secure deal».

2.8. The seller puts the goods up for auction “Group Order” in the currency of the sales region in accordance with the terms of the «Secure deal». Trades “Group Order” are visible to all users of the Platform. Only those Buyers who have the required positive balance for a 10% prepayment in the currency of the “Group Order” auction can take part in the “Group Order” auction and reserve goods.


3. Terms of use of the “Group Order” module for the Buyer

3.1. The Buyer sees all active trades in the “Group Order” module on the platform.

3.2. The Buyer can take part in the auction in the “Group Order” module and purchase the goods only if he has a positive balance required for a 10% prepayment in the currency of the auctioned lot at the “Group Order” auction.

3.3. If during the “Group Order” auction an item was booked by mistake and the Buyer is forced to refuse it, this can be done by writing to the Platform support service within 24 hours from the time of the booking. In this case, penalties for refusing the goods are not applied to the Buyer, and the advance payment is returned to the Buyer’s balance in full.

3.4. Before the end of the reservation period, the Buyer can place several orders within one lot at the “Group Order” auction.

3.5. After the end of the reservation period, the Buyer is invoiced for the remaining amount until full payment of the cost of the reserved product. The Buyer must pay the invoice or top up the balance by the required amount within 7 (seven) calendar days (including the payment processing period). If full payment is not received from the Buyer, the 10% advance payment is non-refundable; it will be paid to the Seller as compensation for the failed transaction.

3.6. After the end of the period for collecting full payments, an order is created, the execution of which is governed by the terms of the «Secure deal».

3.7. Refusal of the goods by the buyer without penalty is also possible in the event of force majeure circumstances, the occurrence and duration of which is confirmed by a document issued by the relevant competent authority. Such circumstances include wars, hostilities, epidemics, fires, natural disasters (floods, hurricanes, earthquakes and other natural disasters and cataclysms), civil unrest, uprisings, terrorist acts, acts and actions of government bodies that make it impossible to fulfill obligations Buyer for registration and acceptance of goods within the framework of the ongoing auction. The Buyer is obliged to notify the platform as soon as possible of the occurrence of such force majeure circumstances.
