TERMS OF USE OF THE "AUCTION" MODULE

1. Terminology


Platform — the website www.allfoods.market.

Seller — a legal entity or individual entrepreneur registered on the Platform and placing products for sale.

Buyer — a legal entity or individual entrepreneur registered on the Platform for the purpose of purchasing products placed by Sellers.

Auction — a section of the Platform through which the Seller may place products for sale in a bidding format, and the Buyer may submit a request to purchase products under the conditions formed during such bidding.

Lot — a product or batch of products placed by the Seller in the “Auction” module indicating the price, quantity, currency, auction duration, and other parameters.


2. General Conditions

2.1. The “Auction” module is a technical tool of the Platform intended for placing lots, conducting auctions, and recording Buyers’ requests for purchasing products.

2.2. The Platform is not a party to any sale and purchase agreement, supply agreement, commission agreement, agency agreement, or any other agreement concluded between the Seller and the Buyer.

2.3. All financial settlements, payment terms, delivery terms, shipment, product acceptance, documentation, returns, claims, and liabilities shall be agreed upon and fulfilled directly between the Seller and the Buyer.

2.4. The Platform does not accept payment for products, does not hold funds, does not provide refunds, does not impose financial penalties, and does not guarantee the fulfillment of obligations by the Seller or the Buyer.

2.5. Auctions in the “Auction” module are conducted according to the official time of the Kingdom of the Netherlands.

2.6. Participation in the “Auction” means that the Buyer expresses an intention to purchase the product under the conditions specified in the lot and formed as a result of the auction. The final terms of the transaction shall be agreed upon directly between the parties.

2.7. The Platform has the right to record user actions within the “Auction” module, including lot placement, participation in bidding, completion of auctions, cancellation of requests, or обращения to customer support.


3. Terms of Use of the “Auction” Module for Sellers

3.1. The number of auctions that a Seller may organize on the Platform is limited by the conditions of the selected account type. Information regarding such limits is available in the Seller’s personal account.

3.2. If the limit for organizing auctions has been reached, the Seller may increase the limit by selecting another account type or by purchasing additional auctions, if such an option is предусмотрена by the current Platform conditions.

3.3. The Seller independently determines the lot parameters, including the product name, quantity, price, currency, auction duration, price change step, and other essential conditions of the offer.

3.4. The Seller may configure the auction for either increasing or decreasing prices during the auction period.

3.5. The minimum auction duration is 60 seconds. The maximum auction duration is 180 seconds unless other parameters are provided by the Platform functionality.

3.6. To organize auctions through the “Auction” module, the Seller must have activated access to the relevant functionality in the personal account.

3.7. The Seller is responsible for the accuracy of information regarding the product, its availability, specifications, price, quantity, shipment terms, and other conditions specified in the lot.

3.8. If, after the completion of the auction, the Seller refuses to continue negotiating the transaction with the Buyer without objective reasons, the Platform may apply internal measures, including warnings, restriction of access to the module, rating reduction, temporary blocking of certain functions, or other measures предусмотренные by the Platform rules.


4. Terms of Use of the “Auction” Module for Buyers

4.1. The Buyer may view active auctions available on the Platform.

4.2. The Buyer may participate in auctions provided that the Buyer has a registered account and access to the relevant Platform functionality.

4.3. Participation of the Buyer in the auction and selection of a lot at the final price means the Buyer’s intention to purchase the product under the conditions specified by the Seller, with further agreement of the transaction directly between the parties.

4.4. If the Buyer submitted a purchase request by mistake, the Buyer has the right to notify the Seller and/or the Platform support service within 1 (one) hour after the completion of the auction.

4.5. The Platform may record the Buyer’s request and notify the Seller; however, the Platform does not make decisions regarding monetary compensation, penalties, refunds, or other financial consequences of refusal.

4.6. If the Buyer systematically participates in auctions without the intention to conclude transactions or refuses to negotiate a transaction without objective reasons, the Platform may apply internal measures, including warnings, restriction of access to the module, rating reduction, temporary blocking of certain functions, or other measures provided by the Platform rules.


5. Force Majeure

5.1. Failure or improper fulfillment of obligations between the Seller and the Buyer may be caused by force majeure circumstances if such circumstances objectively prevent the performance of the transaction and are confirmed by a document issued by a competent authority.

5.2. Force majeure circumstances may include wars, military actions, epidemics, fires, natural disasters, mass disturbances, terrorist acts, decisions of governmental authorities, and other circumstances that the parties could not reasonably foresee or prevent.

5.3. The party affected by force majeure circumstances shall notify the other party and, if necessary, the Platform support service at the earliest possible opportunity.


6. Support

6.1. If users have any questions regarding the use of the “Auction” module, they may contact the Platform support service through the feedback form.

6.2. The support service provides informational and technical assistance regarding the operation of the module but does not act as an arbitrator in commercial, financial, or legal disputes between the Seller and the Buyer.
